{"id":28050,"date":"2019-10-07T08:53:00","date_gmt":"2019-10-07T06:53:00","guid":{"rendered":"https:\/\/www.delucapartners.it\/news\/cour-dappel-de-milan-clause-de-non-concurrence-et-droit-doption-au-profit-de-lemployeur\/"},"modified":"2026-02-16T16:32:24","modified_gmt":"2026-02-16T15:32:24","slug":"cour-dappel-de-milan-clause-de-non-concurrence-et-droit-doption-au-profit-de-lemployeur","status":"publish","type":"post","link":"https:\/\/www.delucapartners.it\/fr\/insights\/case-law-fr\/cour-dappel-de-milan-clause-de-non-concurrence-et-droit-doption-au-profit-de-lemployeur\/","title":{"rendered":"Cour d\u2019appel de Milan : clause de non-concurrence et droit d\u2019option au profit de l\u2019employeur"},"content":{"rendered":"\n<p>La Cour d\u2019appel de Milan, par son arr\u00eat 908 du 2 septembre 2019, s\u2019est pench\u00e9e sur la question de la validit\u00e9 de la clause de non-concurrence li\u00e9e au droit d\u2019option pr\u00e9vu par l\u2019article 1331 du code civil italien pour l\u2019employeur.<\/p>\n\n\n\n<p><strong>Les faits de l\u2019affaire<\/strong><strong><\/strong><\/p>\n\n\n\n<p>La pr\u00e9sente affaire trouve son origine dans un litige introduit par un salari\u00e9 qui, apr\u00e8s avoir d\u00e9missionn\u00e9, avait demand\u00e9 au tribunal de Monza de constater et d\u00e9clarer la nullit\u00e9 et\/ou l\u2019inefficacit\u00e9 et\/ou l\u2019invalidit\u00e9 du droit d\u2019option li\u00e9 \u00e0 la clause de non-concurrence, en demandant de plus de condamner l\u2019employeur au paiement de la contrepartie attach\u00e9e \u00e0 la clause de non-concurrence.<\/p>\n\n\n\n<p>La demande du salari\u00e9 reposait sur le fait que la clause, bien que valable pour la p\u00e9riode post\u00e9rieure \u00e0 la fin du contrat de travail, serait devenue parfaite, l\u2019emp\u00eachant ainsi de planifier son futur professionnel et limitant par cons\u00e9quent sa libert\u00e9.<\/p>\n\n\n\n<p>Le Tribunal d\u00e9boutant le salari\u00e9 de sa demande, affirmait qu\u2019en l\u2019esp\u00e8ce, il n\u2019y avait pas de doute sur le fait que la soci\u00e9t\u00e9 n\u2019avait pas exerc\u00e9 son droit d\u2019option, et que par l\u00e0 m\u00eame, aucune clause de non-concurrence n\u2019avait \u00e9t\u00e9 conclue entre les parties. Partant, selon le Tribunal, aucun droit \u00e0 la contrepartie pr\u00e9vue par la clause de non-concurrence ne pouvait \u00eatre invoqu\u00e9 par le salari\u00e9. En effet,<em> \u00ab&nbsp;ce droit n\u2019est jamais n\u00e9<\/em> (ndr, n\u2019\u00e9tait jamais n\u00e9)<em>, dans la mesure o\u00f9 aucun accord sur ce point n\u2019avait \u00e9t\u00e9 conclu puisque l\u2019employeur n\u2019avait pas exerc\u00e9 son droit d\u2019option<\/em>&nbsp;\u00bb.<\/p>\n\n\n\n<p>En outre, le Tribunal &#8211; rappelant express\u00e9ment une jurisprudence ant\u00e9rieure (cfr d\u00e9cision 13352\/2014), excluait la nullit\u00e9 de la clause, en soulignant par ailleurs que les parties avaient elles-m\u00eames, dans le cadre de leur libert\u00e9 de n\u00e9gociation,<em> \u00ab&nbsp;r\u00e9gl\u00e9 leurs propres int\u00e9r\u00eats<\/em>&nbsp;\u00bb.<\/p>\n\n\n\n<p>Le salari\u00e9 interjetait appel de la d\u00e9cision.<\/p>\n\n\n\n<p><strong>La d\u00e9cision de la Cour d\u2019appel de Milan<\/strong><strong><\/strong><\/p>\n\n\n\n<p>Selon la Cour d\u2019appel de Milan, le fait que l\u2019employeur n\u2019ait pas <strong>exerc\u00e9 son droit d\u2019option<\/strong> permet d\u2019affirmer qu\u2019aucun <strong>accord n\u2019a \u00e9t\u00e9 conclu<\/strong> entre les parties et que, par cons\u00e9quent, <strong>aucun droit \u00e0 la contrepartie n\u2019\u00e9tait n\u00e9 <\/strong>pour le salari\u00e9. Il convient en effet de tenir compte de la structure typique pr\u00e9vue par le dispositif,<em> \u00ab&nbsp;la partie li\u00e9e par l\u2019option, c\u2019est-\u00e0-dire par sa propre d\u00e9claration, n\u2019est pas tenue d\u2019ex\u00e9cuter son obligation contractuelle tant que son cocontractant n\u2019accepte pas, concr\u00e9tisant ainsi la relation contractuelle<\/em>&nbsp;\u00bb.<\/p>\n\n\n\n<p>La Cour a ensuite soulign\u00e9 que le dispositif de l\u2019option pr\u00e9vue par l\u2019article 1331 du code civil italien se situe dans le cadre d\u2019un contrat \u00e0 formation progressive, constitu\u00e9 initialement par un accord portant sur le caract\u00e8re irr\u00e9vocable de la proposition du promettant, et ensuite, par l\u2019acceptation (\u00e9ventuelle) du b\u00e9n\u00e9ficiaire qui se rattachant \u00e0 la proposition pr\u00e9c\u00e9dente rend le contrat parfait.<\/p>\n\n\n\n<p>Toujours selon la Cour d\u2019appel, le contrat ne suit pas le sch\u00e9ma proposition-acceptation, mais celui du <strong>contrat d\u2019option pr\u00e9paratoire<\/strong>, suivi de l\u2019exercice du droit pr\u00e9cit\u00e9, par une d\u00e9claration unilat\u00e9rale dans un d\u00e9lai fix\u00e9 par le contrat ou, \u00e0 d\u00e9faut, par le juge. En cons\u00e9quence, une fois ce d\u00e9lai expir\u00e9, l\u2019option est caduque, dans la mesure o\u00f9 il s\u2019agit d\u2019un d\u00e9lai d\u2019efficacit\u00e9 d\u2019un contrat et non pas d\u2019une irr\u00e9vocabilit\u00e9 de la promesse.<\/p>\n\n\n\n<p>Fondamentalement, le droit d\u2019option est un droit potestatif, puisqu\u2019il correspond du c\u00f4t\u00e9 passif \u00e0 une position de suj\u00e9tion, \u00e9tant donn\u00e9 que, \u00e0 la seule initiative du b\u00e9n\u00e9ficiaire de l\u2019option, le promettant peut subir la conclusion du contrat.<\/p>\n\n\n\n<p>La Cour d\u2019appel a ensuite soulign\u00e9 qu\u2019il n\u2019y avait pas eu de limitation de la libert\u00e9 contractuelle du salari\u00e9. Ceci en ce qu\u2019il avait d\u00e9missionn\u00e9 volontairement, et accept\u00e9 une autre offre d\u2019embauche et qu\u2019il n\u2019avait pas d\u00e9montr\u00e9 qu\u2019il avait subi une limitation li\u00e9e au fait que la soci\u00e9t\u00e9 n\u2019avait pas communiqu\u00e9 l\u2019exercice de son droit d\u2019option.<\/p>\n\n\n\n<p>\u00c0 la lumi\u00e8re de ce qui pr\u00e9c\u00e8de, la Cour d\u2019appel a rejet\u00e9 le recours du salari\u00e9, en ce qu\u2019elle n\u2019a pas constat\u00e9 de violation des dispositions sur le droit d\u2019option pr\u00e9vu par l\u2019article 1331 du code civil italien.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>La Cour d\u2019appel de Milan, par son arr\u00eat 908 du 2 septembre 2019, s\u2019est pench\u00e9e sur la question de la validit\u00e9 de la clause de non-concurrence li\u00e9e au droit d\u2019option pr\u00e9vu par l\u2019article 1331 du code civil italien pour l\u2019employeur.
