{"id":28248,"date":"2021-06-29T12:45:48","date_gmt":"2021-06-29T10:45:48","guid":{"rendered":"https:\/\/www.delucapartners.it\/news\/transfert-dentreprise-et-retrogradation\/"},"modified":"2026-02-16T16:33:50","modified_gmt":"2026-02-16T15:33:50","slug":"transfert-dentreprise-et-retrogradation","status":"publish","type":"post","link":"https:\/\/www.delucapartners.it\/fr\/insights\/case-law-fr\/transfert-dentreprise-et-retrogradation\/","title":{"rendered":"Transfert d\u2019entreprise et r\u00e9trogradation"},"content":{"rendered":"\n<p>La Cour de cassation, par son ordonnance du 20 mai 2021, n\u00b0 13787, a \u00e9tabli que dans le cas o\u00f9 le transfert d&rsquo;une entreprise est d\u00e9clar\u00e9 ill\u00e9gitime, la responsabilit\u00e9 de toute r\u00e9trogradation r\u00e9clam\u00e9e par le salari\u00e9 c\u00e9d\u00e9 incombe au cessionnaire qui a effectivement utilis\u00e9 sa prestation de travail et non au c\u00e9dant.<\/p>\n\n\n\n<p>Le cas d\u2019esp\u00e8ce tire son origine d\u2019une demande de constat de r\u00e9trogradation formul\u00e9e par un salari\u00e9 qui avait \u00e9t\u00e9 c\u00e9d\u00e9 avec une branche d&rsquo;activit\u00e9 et qui, depuis mars 2004, \u00e9tait donc devenu un salari\u00e9 de la soci\u00e9t\u00e9 cessionnaire.<\/p>\n\n\n\n<p>Le juge de premi\u00e8re instance avait fait droit \u00e0 la demande du salari\u00e9 et avait condamn\u00e9 le c\u00e9dant et le cessionnaire solidairement au paiement des dommages et int\u00e9r\u00eats. Cette d\u00e9cision avait ensuite \u00e9t\u00e9 confirm\u00e9e en appel et avait \u00e9t\u00e9 attaqu\u00e9e en cassation par la soci\u00e9t\u00e9 c\u00e9dante.<\/p>\n\n\n\n<p>Selon la soci\u00e9t\u00e9 c\u00e9dante &#8211; \u00e9tant donn\u00e9 qu&rsquo;il avait \u00e9t\u00e9 constat\u00e9 que (i) la r\u00e9trogradation avait dur\u00e9 d&rsquo;avril 2002 \u00e0 octobre 2010 et (ii) qu&rsquo;\u00e0 partir de mars 2004, le salari\u00e9 avait \u00e9t\u00e9 employ\u00e9 exclusivement par la soci\u00e9t\u00e9 cessionnaire &#8211; la responsabilit\u00e9 solidaire pour l&rsquo;ensemble de la p\u00e9riode \u00e9tait erron\u00e9e, puisque la responsabilit\u00e9 de la r\u00e9trogradation incombait \u00e0 la partie utilisatrice des services, qui avait le pouvoir d&rsquo;attribuer les t\u00e2ches.<\/p>\n\n\n\n<p>La Cour de cassation, en faisant droit au recours de la soci\u00e9t\u00e9, a \u00e9tabli qu&rsquo;en cas d\u2019invalidit\u00e9 du transfert de l&rsquo;entreprise telle qu&rsquo;elle a \u00e9t\u00e9 judiciairement constat\u00e9e, la relation de travail se poursuit avec le c\u00e9dant et une relation nouvelle et diff\u00e9rente s&rsquo;\u00e9tablit avec le sujet qui \u00e9tait le cessionnaire, et qui ne l&rsquo;est plus, pour le compte duquel le travailleur a mat\u00e9riellement continu\u00e9 \u00e0 travailler.<\/p>\n\n\n\n<p><em>Selon la Cour de cassation \u00ab \u00e0 c\u00f4t\u00e9 de la relation de travail \u00ab inactive \u00bb avec la soci\u00e9t\u00e9 c\u00e9dante d&rsquo;origine (&#8230;) il existe une prestation de travail mat\u00e9riellement rendue en faveur du sujet avec lequel le travailleur, ill\u00e9galement transf\u00e9r\u00e9 avec la cession de la branche d&rsquo;entreprise, a \u00e9tabli une relation de travail de fait, en tous cas, productive d&rsquo;effets juridiques et donc d&rsquo;obligations pour celui qui utilise effectivement la prestation de travail dans son organisation d&rsquo;entreprise, dont celui qui d\u00e9coule de l&rsquo;application de l&rsquo;art. 2103 Code civil italien, <\/em>de sorte que toute violation de cette r\u00e8gle ne peut \u00eatre imput\u00e9e au c\u00e9dant qui n&rsquo;utilise pas effectivement la prestation de travail \u00bb.<\/p>\n\n\n\n<p>La Cour de cassation a donc cass\u00e9 la partie de l&rsquo;arr\u00eat de la Cour d&rsquo;appel qui pr\u00e9voyait la condamnation solidaire des deux soci\u00e9t\u00e9s pour le paiement des dommages et int\u00e9r\u00eats r\u00e9sultant de la r\u00e9trogradation subie pour la p\u00e9riode pendant laquelle le salari\u00e9 a travaill\u00e9 pour le compte de la soci\u00e9t\u00e9 cessionnaire.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>La Cour de cassation, par son ordonnance du 20 mai 2021, n\u00b0 13787, a \u00e9tabli que dans le cas o\u00f9 le transfert d&rsquo;une entreprise est d\u00e9clar\u00e9 ill\u00e9gitime, la responsabilit\u00e9 de toute r\u00e9trogradation r\u00e9clam\u00e9e par le salari\u00e9 c\u00e9d\u00e9 incombe au cessionnaire qui a effectivement utilis\u00e9 sa prestation de travail et non au c\u00e9dant.
