Legal assistance to the Client, a pan-European platform, in labour and employment due diligence for Leisure and Wellness company acquisitions.

De Luca & Partners was assigned the task of providing legal advice for the aforementioned acquisition performing accurate Due Diligence on the relevant corporations belonging to the Group in order to assess the critical elements and risks associated in said transaction. De Luca & Partners carried out, on behalf of the Client the following activities:

  • analysis of the documents downloaded into the virtual data room; several conference calls with the client;
  • drafting of the legal red flag report;
  • drafting of the legal advice on the negotiation with a Director who made an employment relationship claim;
  • management of a complaint by a member of the Board of Directors, who was dismissed from his office and assistance regarding the request for requalification of the position as an employment relationship through the stipulation of an agreement.
