A global investment firm specialising in mergers, acquisitions and company management across multiple industries required assistance in the acquisition of an international target group, with particular focus on employment law aspects both during the due diligence phase and after closing.
Our approach
The firm adopted an integrated and multidisciplinary approach aimed at providing a comprehensive assessment of employment-related risks and opportunities connected to the transaction. Particular attention was paid to the analysis of employment contracts, service agreements and management incentive schemes (MBO and LTI).
Our intervention
We assisted the client throughout the entire transaction, supporting the due diligence phase through the analysis of key employment aspects of the target group and contributing to the drafting and execution of the SPA. Following completion, the firm supported the client in managing post-closing employment matters, with particular focus on key employees and the implementation of new incentive plans.
